Under the Education Act 1957, any organisation or place providing education for 10 or more persons is a school and must be registered with MOE before it operates (s21). MOE registers the school, its courses, its teachers and its Committee of Management. MOE's pages do not describe transferring registration on a sale, so confirm with MOE before completion.
Key takeaways
- The Education Act 1957 defines a school as an organisation or place providing education for 10 or more persons, and no school may be carried on unless registered (s2 and s21).
- MOE registers the school and its premises, the courses offered, the teachers permitted to teach and the members of the Committee of Management.
- In a share sale the registered company stays the same, but new owners join the Committee of Management through an amendment on GoBusiness.
- In an asset sale the buyer is a new entity, and MOE's published pages do not say whether the existing registration can pass to it.
- The Certificate of Registration does not expire, but the Committee of Management must be re-registered every 3 years.
Which tuition and enrichment centres must register with MOE?
Any centre that provides education to 10 or more persons is a school under the Education Act 1957 and must be registered before it operates, unless it falls under another regime or is exempted.
Section 2 of the Act defines a school as an organisation providing education for 10 or more persons, or a place where 10 or more persons are being or are habitually taught, whether in one class or several. Section 21 says no school shall be carried on unless it is registered, and section 23(4) says no school may open for instruction until its certificate of registration has been issued and displayed.
MOE says this covers tuition and enrichment centres, and its registration overview refers to centres that teach subjects taught in mainstream schools. Some providers fall elsewhere:
- SkillsFuture Singapore (SSG) handles schools offering diploma, degree or other post-secondary courses, full-time preparatory courses for MOE entrance or placement tests or external examinations, full-time primary or secondary education under a foreign curriculum, and privately funded special education schools.
- ECDA licenses childcare centres and kindergartens. The Education Act does not apply to early childhood development centres licensed under the Early Childhood Development Centres Act 2017 (section 4).
- Exemptions can be granted by the Minister by notification in the Gazette for schools whose teaching is purely religious or that are institutions of higher education (section 3).
MOE does not publish a list of which enrichment activities are in or out of scope. If a centre teaching 10 or more persons is not registered, ask MOE why before you buy or sell it.
What exactly does MOE register?
MOE registers four things: the school and its premises, the courses it offers, the teachers permitted to teach there and the people who manage it.
| What is registered | What it involves | When it changes |
|---|---|---|
| The school | A Certificate of Registration naming the premises where the school may be conducted (s23(3)). The certificate does not expire. MOE says the school name must indicate a place of learning and align with the owner's ACRA-registered name. | Relocation, an extra branch or a change of name needs an amendment. Closure needs a cancellation. |
| Courses | Course particulars, with a write-up for courses that are not tuition or MOE syllabus courses. | New courses need an amendment. |
| Teachers | Each teacher's registration form, identity documents and qualifications. MOE issues a letter permitting the teacher to teach in the school. | New teachers need an amendment. The supervisor must report appointments and terminations of teachers (s29). |
| Committee of Management | Every manager is a member of the committee and must be registered (s31). The committee recommends one member as supervisor (s28) and, without MOE's written approval, may not exceed 9 persons (s26). | New members need an amendment, and the committee must be re-registered every 3 years. |
MOE also says committee members should not be teachers or staff employed by the school unless they are also owners (directors, partners or shareholders). Amendments for new committee members, courses or teachers are made on GoBusiness by an existing committee member, take an estimated 14 days after a complete set of documents is received, and the fee must be paid within 60 days of approval.
Can MOE registration be transferred to a buyer?
MOE's published pages do not describe a transfer of registration on a sale, so the honest answer is that it depends on the structure and you should confirm the steps with MOE before completion.
The Act ties registration to the school, its named premises and its registered managers. Section 22(2) says an application to register a school is made by a person intending to become a manager of it. Section 34(d) allows MOE to cancel a manager's registration if that person qualified as a manager through an interest in the school and no longer has that interest, which is what happens to a seller after completion. None of this tells you how MOE handles a sale, which is why the deal should be built around MOE's answer rather than an assumption. MOE's private school registration email is moe_pte_schs@moe.gov.sg.
What changes in a share sale?
In a share sale the company that holds the registration does not change, so the school stays registered, but its management does change and MOE must be updated.
The buyer's directors or nominees will need to be registered on the Committee of Management through an amendment, supported by a directors' resolution, a Form CM for each member and identity documents. MOE draws director and shareholder details from ACRA automatically. Plan the order carefully: if the seller's managers step down before the buyer's are registered, the school must not be left without a supervisor (sections 29 and 30 set out the supervisor's duties and what happens in their absence). One way to manage this is to make approval of the incoming committee members a condition of completion, with the seller's members resigning only once it is given.
What changes in an asset sale?
In an asset sale the buyer runs the centre through a different entity, and you should plan on the basis that the buyer may need its own registration unless MOE confirms otherwise.
A new registration on GoBusiness requires an ACRA-registered company, business or LLP, and the documents include an SCDF-approved floor plan, a Fire Safety Certificate, URA's Grant of Written Permission or HDB's approval for the use of the premises, Committee of Management forms, course particulars, teacher registration forms and teacher qualifications. A first application can include up to 10 courses and 10 teachers, with more added later. GoBusiness estimates processing at 2 weeks from MOE's acceptance of the documents and clearance of the premises at the licensing visit, whichever is later.
Two practical points follow. First, the school name must align with the buyer's ACRA name, so a buyer who wants to keep the brand should register its entity accordingly. Second, the seller's school is closed by cancelling its registration, which MOE allows only once the school has discharged all its obligations to students and staff. Agree the dates so that there is no gap in which neither entity is registered to teach. The methods of a takeover guide compares the two structures more broadly.
| Issue | Share sale | Asset sale |
|---|---|---|
| Registered entity | Unchanged | Buyer's new entity |
| Certificate of Registration | Stays with the company | Confirm with MOE; plan for a new registration |
| Committee of Management | Amendment to register buyer's members | Formed as part of the buyer's registration |
| Courses and teachers | Remain registered; amend for any new ones | Registered afresh with the buyer's application if a new registration is needed |
| Premises documents | Already on file; relocation needs an amendment | SCDF plan, Fire Safety Certificate and URA or HDB approval with the application |
| Seller's registration | Continues | Cancelled after obligations to students and staff are discharged |

What should buyers and sellers check before completion?
Check that the registration on file matches the business being sold, because any mismatch becomes the buyer's problem after completion.
- The Certificate of Registration names the current premises, and every unit in use is covered.
- Every course being run is registered, and every teacher teaching has MOE's letter permitting them to teach.
- The Committee of Management registration is current and has not passed its 3-year re-registration date.
- The school name matches the entity's ACRA name.
- MOE has confirmed in writing, or by email, how it will treat the transaction.
- The Sale and Purchase Agreement makes the MOE steps a condition of completion, with clear responsibility for each filing.

Frequently asked questions
Does a tuition centre with fewer than 10 students need MOE registration?
The Education Act defines a school as an organisation or place providing education for 10 or more persons, so the registration requirement turns on that threshold. A centre that is near it, or growing past it, should register before it reaches 10, because no school may be carried on or opened for instruction without registration. Check with MOE if your numbers vary across classes or terms.
How long does MOE take to register a new tuition centre?
GoBusiness estimates 2 weeks from MOE's acceptance of the documents and clearance of the premises at the licensing visit, whichever is later. Renovation and furnishing must be complete before you apply, and you need SCDF, Fire Safety Certificate and URA or HDB approvals in hand, so the real lead time is set by the premises approvals rather than MOE's processing.
Do teachers have to be registered with MOE?
Yes, for a registered school. MOE registers the teachers permitted to teach in each school, and new teachers are added by an amendment on GoBusiness. After approval and payment, MOE issues a letter permitting the teacher to teach in the school. The school's supervisor must also report teacher appointments and terminations to MOE under section 29 of the Education Act.
Does the Certificate of Registration of School expire?
No. GoBusiness states that the certificate does not need renewal, but the school must update MOE about teachers, courses, the school name and address when they change, and the Committee of Management must be re-registered every 3 years. A buyer should check that the committee registration is current before completion.
Who can apply to MOE for changes on behalf of the school?
MOE says applications to add courses or teachers, or to change the Committee of Management, must be made by an existing member of the committee, using the CorpPass of the business that runs the school. In a sale, that usually means the seller's committee member files the amendment that brings the buyer's members on board.
